Partner Network Terms

Effective Date: March 24, 2026

The Lacesse Partner Network ("Program") allows approved individuals and businesses ("Affiliate", "Partner", "You") to earn commissions by referring new merchants to the Lacesse Duka platform. These Partner Network Terms of Use ("Affiliate Terms") are a binding agreement between you and Lacesse Ventures ("Lacesse", "we", "us").

By generating a referral link, accessing the Affiliate Dashboard, or otherwise participating in the Program, you agree to be bound by these Affiliate Terms, as well as our general Terms of Use and Privacy Policy.

1. Independent Contractor Status

You are an independent contractor. Nothing in these Affiliate Terms creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Lacesse Ventures. You have no authority to make or accept any offers or representations on our behalf.

2. Commission Structure

Commissions are strictly calculated based on the net platform revenue actually received and retained by Lacesse.

The Rate: Affiliates earn twenty percent (20%) of the platform transaction fee collected by Lacesse on eligible sales made by referred merchants, or 20% of the initial setup/subscription fee paid by the merchant.
The 12-Month Window: Commissions are only earned on a referred merchant's transactions for the first three hundred and sixty-five (365) days following the date the merchant creates their Lacesse Duka account. After 12 months, the referral link expires for that specific merchant, and no further commissions will be generated.

3. The 28-Day Locking Period (The Cliff)

To protect Lacesse and its merchants from chargebacks, fraud, and refunds, all generated commissions are subject to a strict twenty-eight (28) day holding period.

Commissions will reflect as "Pending" in your dashboard immediately upon a successful sale.
Exactly 28 days after the transaction clears, the funds will transition to "Unlocked" and become available for withdrawal.
The Clawback Rule: If an end-customer refunds an order or initiates a chargeback during this 90-day window, the pending commission attached to that specific order will be permanently cancelled and removed from your ledger.

4. Payout Terms

Lacesse processes payouts on a strictly requested basis. Funds do not auto-disburse.

Minimum Threshold: You may only request a withdrawal once your "Unlocked" balance reaches or exceeds KES 1,000.
Payment Method: All payouts are processed exclusively via Safaricom M-Pesa to the phone number registered in your Affiliate Dashboard.
Accuracy of Information: It is your sole responsibility to ensure your registered M-Pesa number is accurate and active. Lacesse is not liable for funds disbursed to incorrectly provided numbers, and such transactions cannot be reversed.
Taxes: You are solely responsible for declaring and paying any applicable taxes on commissions earned through this Program in your local jurisdiction.

5. Strict Anti-Fraud & Prohibited Activities

Zero Tolerance Policy Violating any of the following rules will result in immediate termination of your Affiliate account, a permanent ban from the Lacesse ecosystem, and the total forfeiture of all Pending and Unlocked balances.

You may not engage in any of the following activities:

Self-Referrals: You may not use your own affiliate link to create Lacesse Duka accounts for businesses you own, operate, or have a direct financial stake in. Our systems actively monitor phone numbers, IPs, and device fingerprints to detect self-referral fraud.
Spam & Deception: You may not distribute your link via unsolicited email (SPAM), deceptive advertising, cookie-stuffing, or by masquerading as an official Lacesse Ventures representative.
Brand Bidding: You may not bid on search engine keywords (e.g., Google Ads) containing "Lacesse," "Lacesse Duka," "Lacesse Fikra," or any misspellings thereof to drive traffic to your referral link.
Illegal Content: You may not place your referral link on websites that promote violence, illegal activities, or highly regulated adult content.

6. Limitation of Liability

We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under this Agreement in the three (3) months preceding the claim.

7. Termination & Modification

Lacesse Ventures reserves the right to suspend or terminate your participation in the Program at any time, with or without cause, by providing written notice to the email address associated with your account.

We reserve the right to modify the commission rate, holding periods, or these Affiliate Terms at any time. If we make material changes, we will notify you via your Affiliate Dashboard or email. Continued participation in the Program following any modifications constitutes your binding acceptance of the new terms.
